Terms and Conditions

1. Introduction

These Terms and Conditions ("Agreement") govern the provision of cybersecurity and IT services ("Services") by GLOBAL NEXT CONSULTING INDIA PRIVATE LIMITED (GNCIPL), a company registered under the laws of Sec 8 of the Companies Act, 2013 (18 of 2013) & rule 18 of the Companies (Incorporation) Rule 2014. By engaging with our Services, GNCIPL "Client" agree to comply with these Terms and Conditions.

2. Services Provided

We provide a range of services including, but not limited to:

• Cybersecurity consulting and threat mitigation
• Managed IT services and support
• Cloud solutions and migration
• Software development and customization
• Network management and optimization
• Data backup, recovery, and disaster recovery services
• IT consulting and strategy planning

The specific Services provided to each Client will be outlined in the Service Agreement or Statement of Work (SOW) prior to commencement.

3. Service Fees

• The fees for our Services will be outlined in the Service Agreement or SOW.
• Payment terms: [Monthly/Quarterly/Annual] payments are due within 15 days of receipt of an invoice unless otherwise stated in the agreement.
• Late payments may incur a late fee as specified in the Service Agreement.
• Any additional fees for services outside the scope of the initial agreement will be agreed upon in writing by both parties.

4. Client Responsibilities

• The Client is responsible for providing accurate and up-to-date information necessary for the successful delivery of Services.
• The Client agrees to cooperate with GNCIPL and provide access to systems, data, and personnel as required for us to perform the Services.
• The Client is responsible for maintaining the security and confidentiality of any access credentials (e.g., usernames, passwords) provided to GNCIPL.

5. Confidentiality

• GNCIPL will keep all Client data, systems, and business information confidential. We will not disclose or share your information with third parties except as required for the execution of the agreed services or as required by law.
• Both parties agree to implement reasonable security measures to protect confidential information shared during the engagement.

6. Data Security and Privacy

• GNCIPL will use commercially reasonable efforts to ensure the security of the Client’s data. However, we do not guarantee that our Services will be completely free from cyber threats.
• The Client is responsible for ensuring compliance with applicable data protection laws, including GDPR, CCPA, or other privacy regulations.
• GNCIPL will assist the Client in complying with these laws to the extent outlined in the Service Agreement.

7. Limitation of Liability

• GNCIPL will not be held liable for any damages, losses, or expenses arising from the Client’s failure to comply with these Terms or from the actions of third parties (e.g., hackers, unauthorized access).
• Our liability for any claim arising from the Services shall be limited to the amount paid by the Client for the specific Service that gave rise to the claim in the past TWO months.
• In no event shall GNCIPL be liable for indirect, incidental, or consequential damages, including lost profits, loss of data, or business interruptions.

8. Service Level Agreements (SLAs)

• GNCIPL will provide Services in accordance with the Service Level Agreements (SLAs) as defined in the Service Agreement or SOW.
• Response times, resolution times, and uptime guarantees will be specified in the SLA and may vary based on the specific services contracted.

9. Termination

• Either party may terminate the agreement with 30 days' written notice, subject to any obligations outlined in the Service Agreement.
• GNCIPL may terminate the agreement immediately if the Client violates any terms of this Agreement or engages in fraudulent or illegal activities.
• Upon termination, the Client agrees to pay for any outstanding services provided up to the date of termination.

10. Ownership of Work

• All intellectual property, including software, tools, and methodologies developed by GNCIPL during the provision of Services, will remain the property of GNCIPL, unless otherwise agreed in writing.
• The Client is granted a non-exclusive, non-transferable license to use any deliverables produced by GNCIPL for their internal business purposes only.

11. Indemnification

The Client agrees to indemnify, defend, and hold GNCIPL, its employees, agents, and affiliates harmless from any claims, losses, liabilities, and expenses arising out of the Client’s use of the Services or from any breach of this Agreement by the Client.

12. Force Majeure

Neither party shall be held liable for any failure to perform its obligations under this Agreement due to events beyond its reasonable control, including but not limited to natural disasters, war, strikes, or acts of terrorism.

13. Governing Law and Dispute Resolution

• This Agreement shall be governed by and construed in accordance with the laws of Kanpur Nagar U.P India.
• Any dispute arising out of or in connection with this Agreement shall be resolved through negotiation. If unresolved, the dispute will be submitted to binding arbitration.

14. Modifications

• GNCIPL reserves the right to modify or amend these Terms and Conditions at any time. Clients will be notified of any material changes, and continued use of our services constitutes acceptance of the updated Terms.
• Any amendments to this Agreement must be in writing and signed by both parties.

15. Entire Agreement

This Agreement, together with any Service Agreements, Statements of Work (SOW), and other written agreements between the parties, constitutes the entire understanding between the Client and GNCIPL regarding the provision of IT and cybersecurity services.
